Why does TrueLayer need a Shareholding chart for the entity?

A shareholding chart is a crucial document for TrueLayer's due diligence process, particularly when comprehensive shareholding information is not readily available through public registries.

This document helps us to:

• Clearly identify ownership percentages: Understand the precise breakdown of ownership within your entity.
• Map layers of entities: Navigate complex corporate structures to identify all relevant parties.
• Pinpoint Ultimate Beneficial Owners (UBOs): Determine the natural persons who ultimately own or control the entity.

To be acceptable, the shareholding chart must be signed and dated within the last year and clearly illustrate the ownership structure, including all layers of entities and the Ultimate Beneficial Owners (UBOs). This ensures transparency and helps us meet our regulatory requirements regarding beneficial ownership.
